Terms of service
- Payment Terms
Payment for services rendered as outlined in the invoice is due within thirty (30) days from the date of the invoice. Payments can be made via, bank transfer and/or, check. Late payments may incur a late fee of [insert late fee percentage or amount] after thirty (30) days from the invoice date. - Scope of Services
The services are DERMS based consultation. Any additional services beyond the scope specified in the invoice will be considered outside of this agreement and may require separate negotiation and agreement. - Confidentiality
All work performed is considered confidential between the service provider and contracted party. Both parties agree not to disclose any confidential or proprietary information received during the course of this agreement without prior written consent from the other party. - Revisions and Amendments
If the client requires revisions or amendments to the proposal after the initial submission, the service provider will accommodate minor revisions as part of the agreed scope. Significant changes or additional services may result in additional fees, which will be discussed and agreed upon by both parties before proceeding. - Limitation of Liability
The service provider will not be liable for any indirect, incidental, or consequential damages, including loss of profit or business opportunities, resulting from the use of the services. The total liability for any claim arising from services rendered is limited to the total amount paid for the services in question. - Termination
Either party may terminate this agreement in writing with thirty (30) days’ notice. In the event of termination, the client will be responsible for paying for all services rendered up to the date of termination. - Dispute Resolution
Any disputes arising under this agreement will be resolved through good faith negotiations between the parties. If a resolution cannot be reached, the dispute may be escalated to mediation or arbitration, in accordance with the applicable laws of NY State - Governing Law
This agreement is governed by the laws of NY State, and any legal proceedings arising from this agreement will be conducted in the courts of NY State - Force Majeure
Neither party shall be held liable for any delay or failure to perform due to events or circumstances beyond their reasonable control, including but not limited to acts of God, war, pandemic, natural disasters, or other unforeseen events. - Entire Agreement
This document, together with the invoice, constitutes the entire agreement between the service provider and Procemx regarding the services described and supersedes any prior agreements, communications, or understandings.
